1. License Grant
We grant you a limited, non-exclusive, non-transferable license to access and use MicroPoster for your internal social‑media posting, cross‑posting and analytics needs.
2. User Accounts
- You must be at least 18 years old.
- You are responsible for maintaining account security and all activity under your account.
- Accounts are personal. Do not share or transfer your login.
3. User‑Generated Content
You retain ownership of your posts. By using the Service, you grant us a worldwide license to store, display, and cross‑post your content to linked platforms.
You represent that you have all necessary rights to the content you post and will not upload infringing, defamatory, or unlawful material.
4. Prohibited Conduct
You agree not to reverse‑engineer our Service, bypass security measures, or use it for illegal, harassing, or harmful activities.
5. Fees and Payment
MicroPoster offers different paid subscription plans. All fees are posted on our website. We may change tiers, features, and our fees with or without advance notice.
Unless otherwise stated, fees are non-refundable. At our sole discretion, we may issue credits or refunds; the issuance of one refund does not obligate us to issue others. Our refund policy is described in our Refund Policy.
6. Service Modifications, Suspension, and Discontinuation
We may change, suspend, or discontinue all or any part of the Service at any time, with or without notice, and without liability to you or any third party.
If we permanently discontinue paid subscriptions, we may (at our sole discretion) issue a pro‑rata credit or refund for any prepaid, unused fees.
7. Termination by You; Termination by Us
- By You: You may delete your account at any time.
- By Us: We may suspend or terminate your account or access to the Service, with or without notice, for any reason, including for violations of these Terms, suspected fraud, or legal requirements.
- Zero Tolerance for Abuse: We reserve the right to terminate your access immediately, without notice or refund, if we determine (at our sole discretion) that you have engaged in behavior that is abusive, harassing, threatening, or discriminatory toward us, our staff, or other users.
- Effects of Termination: Upon termination, your license ends immediately. We have no obligation to retain your data except as required by law.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.
We are not responsible for content, availability, or practices of external platforms or third‑party services connected to the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) AUD $100. NOTHING IN THESE TERMS LIMITS NON‑EXCLUDABLE RIGHTS UNDER THE AUSTRALIAN CONSUMER LAW OR EXCLUDES LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR INJURY TO LIFE OR PERSON WHERE SUCH LIABILITY CANNOT BE EXCLUDED BY LAW.
10. Indemnification
You will defend, indemnify, and hold harmless MicroPoster and its affiliates from and against any claims, damages, or expenses (including legal fees) arising out of your content, your use of the Service, or your violation of these Terms.
11. Governing Law; Exclusive Jurisdiction
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts located in Sydney, New South Wales for the resolution of any dispute arising from or relating to these Terms or the Service.
12. Mandatory Informal Dispute Resolution
Before filing any formal legal claim or lawsuit, you agree to first attempt to resolve the dispute informally by contacting us via email. We will engage in good faith to resolve the issue via email for a period of 30 days before either party may commence formal proceedings.
13. Changes to Terms
We may revise these Terms at any time with or without notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Notices
We may provide notices to you via email to the address associated with your account, in‑app notifications, or by posting on our website. You agree that such notices satisfy any legal communication requirements.
15. Third‑Party Services
The Service may depend on or link to third‑party services (e.g., X, Bluesky, Mastodon, LinkedIn). Your use of those services is subject to their terms, and we are not responsible for their content or availability.
16. Force Majeure
We will not be liable for any delay or failure in performance due to events beyond our reasonable control, including acts of God, internet failures, outages of third‑party services, labor disputes, or governmental actions.
17. Miscellaneous
- Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in full force.
- No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign your rights or obligations without our prior written consent. We may assign these Terms without notice.
- Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service.
